Terms & Conditions
The agreement between you and iCONI Agency when you engage us for a project or use our website.
1. Acceptance of Terms
By accessing our website, submitting an enquiry, accepting a proposal, or engaging iCONI Agency for any service, you confirm that you have read, understood and agree to be bound by these Terms & Conditions.
If you are entering into these terms on behalf of a company or organisation, you confirm that you have the authority to bind that entity.
If you do not agree with any part of these terms, please do not use our website or engage our services.
2. Website Usage
You agree to use our website for lawful purposes only. You may not:
- Attempt to gain unauthorised access to any part of the website or its underlying systems.
- Interfere with the normal functioning of the website — including introducing malware, running automated scrapers, or launching denial-of-service attempts.
- Copy, republish or redistribute substantial portions of our content, code or design without prior written permission.
- Use our website to transmit spam, phishing content or any unlawful material.
We reserve the right to restrict or block access to any user who violates these rules.
3. Services
iCONI Agency provides web design and development services, including but not limited to:
- WordPress and Elementor development.
- WooCommerce and custom eCommerce development.
- Custom front-end and full-stack web development.
- Landing page development and website cloning.
- SEO, speed optimization, website redesign and maintenance.
- Third-party API integrations, dashboards and technical consulting.
The specific services for your project will be defined in the written proposal or statement of work we agree together.
4. Proposals & Agreements
Every project begins with a written proposal or statement of work. This will typically include:
- Project scope and deliverables.
- Timeline and milestones.
- Fixed price or pricing structure.
- Payment schedule.
- Revision rounds included.
- Any assumptions or client dependencies.
A project officially begins when you have accepted the proposal in writing (email confirmation is sufficient) and paid any required deposit. Until then, no work is committed or owed.
5. Project Scope
Every project is scoped in the proposal. The following rules apply:
- Work outside the agreed scope is treated as additional work and will be quoted separately.
- Additional work proceeds only with your written approval.
- Adding pages, features or integrations after the project starts changes the timeline and price.
- Significant changes in direction after a milestone is signed off may require re-scoping or restarting that milestone.
We will always tell you clearly whether a request counts as a revision (included) or additional work (quoted separately).
6. Payments
Standard payment terms are:
- Starter projects: 50% deposit to begin, 50% on delivery.
- Business projects: 40% to begin, 40% at design approval, 20% at launch.
- Advanced / Custom projects: milestone-based payments defined in the proposal, usually 30–40% at kickoff.
Payment methods and currency are specified in your proposal. We accept bank transfer, UPI, Razorpay and international payment options (for clients outside India).
Late payments: invoices unpaid beyond 15 days of the due date may pause active work. Invoices unpaid beyond 30 days may be subject to a 2% monthly late fee, at our discretion.
7. Revisions
Each project package includes a defined number of revision rounds:
- Starter: 1 revision round.
- Business: 3 revision rounds.
- Advanced / Custom: unlimited revisions within the agreed project scope.
A "revision round" is a consolidated set of feedback on a milestone (design, layout, copy, etc.). We ask you to gather your team's feedback into one batch rather than sending it piecemeal — this keeps the project moving.
Revisions do not extend to changes in the original scope, direction or deliverables.
8. Timelines & Delays
Timelines in your proposal are estimates based on the assumption that:
- You will provide all required content, brand assets and information promptly.
- You will respond to feedback requests and milestone approvals within 3 working days.
- There are no significant changes to scope after the project starts.
If these conditions are not met, the timeline will be extended accordingly. We are not liable for delays caused by missing content, late feedback or scope changes.
9. Client Responsibilities
You agree to:
- Provide accurate, complete and timely content, images, logos and brand assets.
- Ensure that any content you provide does not infringe on third-party copyright, trademarks or intellectual property.
- Provide feedback within agreed timeframes so the project can continue.
- Have the authority to approve work and payments on behalf of your organisation.
- Own or hold valid licences for any images, fonts, plugins or media you supply.
- Ensure your use of the delivered website complies with applicable laws and regulations in your jurisdiction.
You remain responsible for the ongoing operation, content and legal compliance of your website after handover.
10. Intellectual Property
Intellectual property (IP) is handled as follows:
- Client-supplied content (text, images, logos, brand assets) remains your property at all times.
- Custom work we build for you — including custom code, design and content we create specifically for your project — transfers to you upon full payment of the agreed project fee.
- Pre-existing tools, frameworks and libraries (e.g. WordPress, WooCommerce, open-source libraries, licensed fonts) remain under their respective licences and are not transferred.
- Our internal tools, methods and reusable components remain our property, but you receive a perpetual, non-exclusive licence to use them as part of the delivered website.
We reserve the right to display the completed project in our portfolio and case studies, unless you request otherwise in writing.
11. Third-Party Services
Your project may rely on third-party services such as hosting providers, domain registrars, payment gateways (Razorpay, Paytm, Stripe), email platforms, CDNs, Google APIs and plugin vendors.
You acknowledge and agree that:
- These services are governed by their own terms and privacy policies, which you are responsible for reviewing.
- We are not responsible for outages, changes to pricing, or discontinuation of any third-party service.
- Costs for third-party services (hosting, domains, licences, API quotas) are your responsibility unless explicitly included in the proposal.
12. Cancellation Policy
You may cancel a project at any time by written notice (email is sufficient). The following rules apply:
Cancellation by the client
- Before kickoff (before the deposit is paid and work begins): no charges apply. Any proposal is simply withdrawn.
- After kickoff but before the first milestone is delivered: you will be charged for work completed up to that point, based on the project's payment schedule.
- At any milestone: you may cancel at the end of any milestone by notifying us in writing. You pay only for milestones delivered and approved up to that point.
- Mid-milestone: if you cancel partway through an active milestone, that milestone is charged in full (since work has already begun), and subsequent milestones are cancelled.
Cancellation by iCONI Agency
We reserve the right to cancel or pause a project if:
- Payment obligations are not met after 30 days past due.
- Required content, feedback or assets are not provided after repeated requests, causing significant delay.
- The project becomes impractical due to circumstances outside our reasonable control.
Effect of cancellation
Upon cancellation, we will hand over all completed deliverables produced up to the cancellation date, along with any relevant documentation. Any amounts already paid for work not yet completed will be refunded according to the Refund Policy below.
13. Refund Policy
We want every client to feel the value they paid for. This Refund Policy explains exactly when, how and how much we refund — so there are no surprises for either side.
13.1 Principles behind our refunds
- No refunds for work already delivered and approved. If you've signed off on a milestone, that work is complete and paid for.
- Fair cancellation is always refundable. If you cancel before work has started, you get your money back — no questions.
- We fix issues rather than refund them. If something isn't right, our first priority is to fix it (within the revision rounds included in your package).
- Refunds are proportional. You only ever pay for what has actually been delivered.
13.2 Refunds by project stage
- Before kickoff: Full refund of any deposit paid, minus any third-party costs already incurred on your behalf (e.g. domain registration, licence purchase). If no third-party costs have been incurred, the refund is 100%.
- During the discovery phase (first week): Refund of the deposit minus a fair charge for discovery work completed. Discovery work is typically billed at a pro-rated amount specified in your proposal.
- During the design phase (before development begins): Refund of the deposit minus the design work completed and delivered. You keep all design files produced up to that point.
- During the development phase (after design approval): Refund of any deposit amount not yet applied to work completed. You receive all code, design assets and documentation produced up to the cancellation date.
- After final delivery: No refund is available. The project has been delivered, reviewed and (typically) signed off. Post-launch issues are covered by the Warranty & Support section below.
13.3 Non-refundable items
The following costs are non-refundable, regardless of cancellation stage:
- Third-party costs already incurred — domain registration, hosting already purchased, paid plugin or theme licences, premium fonts, stock image licences, API subscription fees.
- Payment gateway and transaction fees — the processing fees charged by Razorpay, Paytm, Stripe or banks when you paid us are not refundable, since they are charged to us by the provider.
- Completed milestone work — anything already delivered and approved.
- Rush fees and priority charges — if you paid extra for expedited delivery, those charges are non-refundable once work has begun.
- Consulting and audit hours — hourly consulting, technical audits and strategy sessions once delivered.
13.4 How to request a refund
To request a refund, email [email protected] with the subject line "Refund Request — [Your Project Name]" and include:
- Your full name and the project or invoice reference.
- The reason for the refund request.
- The amount you believe is fair, and how you arrived at it.
We acknowledge every refund request within 2 working days and give you a formal decision within 7 working days.
13.5 Processing time
Approved refunds are processed as follows:
- Decision: within 7 working days of receiving your request.
- Initiation: within 3 working days of approval.
- Credited to you: 5–10 working days depending on your bank or payment provider. Razorpay and UPI refunds usually appear within 5 working days. International bank transfers may take up to 14 working days.
Refunds are issued to the same payment method you used, unless you specifically request a different one in writing.
13.6 Exceptions
We may decline a refund request if:
- The work has already been delivered and approved at a milestone.
- The refund request is made more than 60 days after final project delivery.
- The client has not participated in the revision process offered (we always give you a chance to fix issues first).
- The project was cancelled by us due to non-payment, breach of terms or client misconduct.
- The refund request is for a portion of work already used commercially by the client (e.g. a live website built with our code).
13.7 Disputes
If you disagree with our refund decision, we encourage you to:
- Ask for a written explanation of how the decision was reached — we'll always provide one.
- Request a mediation call with a senior team member.
- Propose an alternative resolution (partial refund, additional work, extended support).
We've never taken a refund dispute to litigation, and we don't intend to start. Our aim is always a fair outcome both sides can live with.
14. Warranty & Support
Every project includes a post-launch support window:
- Starter & Business: 30 days from launch.
- Advanced / Custom: 3 months from launch.
During this window, we will fix any bugs or issues caused by our code or implementation at no extra cost. Support does not cover:
- Issues caused by third-party plugin updates, hosting changes or user modifications.
- New features, design changes or content updates.
- Damage caused by hacking, malware or misuse after handover.
Beyond this window, ongoing maintenance plans are available if you'd like us to keep things updated, backed up and secure.
15. Limitation of Liability
To the maximum extent permitted by law:
- iCONI Agency's total liability arising from any project is limited to the total fees paid by you for that project.
- We are not liable for indirect, incidental, special or consequential damages — including lost profits, lost revenue, lost data, or business interruption — even if we were advised of the possibility.
- We are not liable for downtime, loss of service, or data loss caused by hosting providers, third-party APIs, payment gateways or any external service.
- We are not liable for any claim arising from content you supplied or from your use of the website after handover.
Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law.
16. Confidentiality
Both parties agree to keep confidential any non-public information shared during the project — including business plans, client lists, technical architecture, pricing and internal documents.
We are happy to sign a mutual non-disclosure agreement (NDA) before detailed discussions if that matters to you. Just mention it in your enquiry.
17. Termination
Either party may terminate a project if:
- The other party materially breaches these terms and does not remedy the breach within 14 days of written notice.
- Payment obligations are not met after 30 days past due.
- Continuing the project becomes impractical due to circumstances outside either party's reasonable control.
On termination, you are responsible for payment of work completed up to that point, and we will hand over all completed deliverables produced up to that date. Refunds of unused deposit amounts are governed by the Refund Policy in Section 13.
18. Governing Law
These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.
Where possible, we prefer to resolve disputes amicably through direct discussion or, if necessary, mediation — before pursuing any formal legal action.
19. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes in our services, legal requirements or industry practice. When we do:
- The "Last updated" date at the top of this page will change.
- Material changes will be highlighted on the homepage for a short period.
- Continued use of our website or services after changes take effect constitutes acceptance of the updated terms.
For active projects, the terms in effect when the proposal was accepted remain valid for the duration of that project, unless both parties agree in writing to update them.
